Invest in Celadon's Growth

A regulated investment gateway for qualified investors seeking exposure to Celadon Pharmaceuticals’ expansion in cannabis-based medicines, API production, and international commercialisation.

A NEW WAY TO INVEST IN CELADON

Celadon Pharmaceuticals is now raising capital through the world’s first regulated, securitised, and tradable Actively Managed Certificate (AMC), providing qualified investors with a clean, regulated and internationally acessible route to participate in Celadon’s next stage of growth.

The AMC enables investors to gain exposure to Celadon’s expanding commercial footprint, including:

Development of Phase 2 Facility

Pharmaceutical API Production

MIA & FDA Approval

IP Licensing Revenues Across Europe

High-Margin Cannabis Based Medicine Manufacturing

FUNDING OUR PATH TO GLOBAL PHARMACEUTICAL CERTIFICATION

Celadon produces pharmaceutical-grade API’s in a controlled GMP environment, ensuring consistency, purity and the highest standards required for global medical markets.

Celadon operates one of the most advanced cannabis pharmaceutical facilities in the UK, designed and engineered to meet the stringent requirements for MIA and FDA certification.

Phase 1 production is fully operational, and Celadon is now expanding capacity as part of its strategy to secure both MIA and FDA approval for international pharmaceutical-grade supply.

Our facility supports the full lifecycle of production, from genetics and tissue culture, through cultivation and harvesting, to the processing of API for use in cannabinoid-based medicines.

Celadon integrates advanced technology across its cultivation environment, including precision hydroponics, smart lighting, environmental automation and industry-leading traceability systems.

This expansion forms part of Celadon’s pathway to becoming only the second organisation globally to hold both MIA and FDA certification for pharmaceutical-grade cannabinoid products.

Why Raise Capital Through an AMC?

Traditional private placements can create complexity for both investors and issuers. The AMC eliminates these barriers.

By raising capital through an AMC structure, Celadon offers:

Regulated Investment Structure

Issued via a Swiss securitisation platform using a protected-cell structure.

International Accessibility

Allows qualified investors globally to participate without complex cross-border mechanics.

Independant Oversight

Custody, administration and reporting are handled through the AMC framework.

ISIN-Issued Transparency

Investors receive an investment certificate with an ISIN, ensuring clarity and simplicity.

Efficient Investor Onboarding

Streamlined subscription and reporting process for professional investors.

Strategic Regulatory Pathway Support

A clear, ring-fenced structure to deploy capital directly towards Celadon's MIA and FDA certification.

Market Insights

The core strategy is to capitalise on the high-growth pharmaceutical cannabinoid sector. Celadon has built a high-value platform, including a 100,000 sq. ft GMP certified facility with indoor cultivation and processing capabilities, which creates significant regulatory barriers to entry (a “regulatory moat”) for competitors.

Celadon’s business model is focused on profitable revenue generation through multiple revenue pathways:

Women's Health (Endometriosis)

Targeting a £1.4 billion market.

Chronic Pain Programme (LVL Health)

A 100% owned Celadon company with the only fully approved MHRA and NHS clinical programme using Cannabis-Based Products for Medicinal Use (CBPMs), targeting the £58 billion chronic pain market.

Semi-Synthetic Delta-9 THC (CLD-927)

Targeting a £3 billion global market for applications like anti-nausea and appetite boosting.

Key Market Drivers

High-Growth Sector and Market Size

Pharmaceutical cannabis is identified as a high-growth sector offering significant untapped market potential. The global market for pharmaceutical cannabinoids is projected to be worth £37 billion by 2027.

Favorable Regulatory Environment

The UK medical cannabis market has grown by 135% since 2018, and accelerating regulatory adoption presents a compelling investment entry point. The company has established clear regulatory routes to market.

Large, Underserved Patient Populations

The investment is driven by the goal to deliver pharmaceutical cannabinoid solutions to underserved patients where conventional treatments have failed.

Regulatory 'Moat'

The company has established a regulatory barrier to entry, or "regulatory moat," with its 100,000 sq. ft. GMP certified facility with indoor cultivation and processing capabilities.

ENVIRONMENT

Celadon uses a highly controlled indoor cultivation environment in order to produce plants to the tightest pharmaceutical tolerances and cannabinoid content. Hydroponics is used to grow plants in a soilless substrate, with mineral salts dissolved into high quality filtered water and delivered direct to the roots of the plant. Micro-zoned sensors monitor every aspect of the environment in real time; from the room’s temperature, lighting cycles and humidity, to the plant’s mineral absorption and transpiration rates. This allows Celadon to build a data bank of optimal growing conditions for each strain, as well as adjust the room automatically.

TRACKING

Celadon has a bespoke “track and trace” system throughout the production process, providing complete transparency. Each plant is given a unique QR code, allowing it to be traced from its origins through to the final product. IOT boxes are used to automatically feed data into the system, from environmental data to the product’s weight, at each stage of production. This provides full visibility over the production process, as well as inventory tracking and accurate cost analysis which feeds into our accounting systems.
